In the final evaluation, it is important to consider to what extent the student:
· Demonstrates a thorough basic knowledge and understanding of important laws governing private international relations;
· Exhibits a practical understanding of legal process and substance in international business; and
· Shows clear ability to assess relevant legal issues as part of the analysis of business decisions in the international context.
In the global economy, companies need to secure their international transactions by using the most suitable contracts, methods of property acquisition and protection, and transport and payment instruments among other things. The purpose of this course is to give the students a thorough basic understanding of the most important types of international business issues mainly at a private commercial level in areas such as contract and intellectual property. The student will gain an ability to identify and examine a range of law- and business-oriented issues relating to the international trade environment.
To achieve this, the design of the course is specific to cover important, relevant law and business topics occurring in todays international transactions. Thus, following a general introduction session, the main part of the courses structure is as follows:
· The international law governing contracts, and specifically, contracts of sale of goods, including the international regulation provided by the UNs CISG;
· Legal and business issues concerning international trade terms and transportation, including the ICCs Incoterms and the connected regulation of international sea carriage and the rules of documentary credit;
· The law of intellectual property, including patents, trade marks and domain names, and the impact of European and international legal sources;
· International rules regarding trade in goods at a regulatory level, with a look at the EU and the WTO; and
· Other areas covered are the general law position within the EU, and the principal ways of structuring the multinational enterprise.
A theme running through the course is the development of a case study. This will culminate with group presentations of an original business model by the students themselves, analysed with reference to the law topics covered during the course. Initially, this format develops in the interactive lecture discussions, based on real-life examples including trade in China and Europe, with the relevant issues of law, business and ethics that this raises. Profiles of various companies and case law will aid this explanation. Another central theme of the course is the use of business advice questions to test in a practical way the knowledge gained by students. Again, wherever possible, real-life examples are used.
